Mergers and Acquisitions
Mergers and Acquisitions are one of the core competencies of the Principals of NPS who had successfully completed numerous exercises worth from one of millions of ringgit to in excess of RM10 millions. We assist our clients by providing an initial walk through of value creation strategies and schematic financial modeling, process planning and target timeline, risks evaluation and proposed mitigating factors, comparable analysis for potential target(s) or merged partner(s), preliminary/indicative valuation, and formulation of most suitable approaches for the exercise. During the implementation stage, we provide supports for effective price negotiation, selection of and works coordination with other professional advisers, fund raisings for the transactions and other logistic arrangements for successful deal-closing.
As a subset of our M&A activities, we have also been involved in formulating preventive measures against unsolicited activities of potential hostile takeovers, or other unexpected events.
LEAP Market Listings
We provide advisory services to companies seeking listing on the LEAP Market of Bursa Securities, including evaluating and assessing the companies, the business model as well as the corporate and financial structure.
We would formulate the optimum listing scheme and structure taking into account corporate objectives and the intention to maximizing shareholder returns.
Debt Raisings
We advise our clients in respect of suitable debt instruments from the capital market or the traditional bank borrowings, Islamic or conventional issues. We work with small and medium size companies and provide guidance in securing cost-effective financing locally and internationally where we appropriately structure the bankability of the business case, assist in planning for an appropriate gearing level, initiate discussions with prospective lenders, facilitate presentation and meeting with the financiers, negotiate on the terms with the lenders on behalf of clients and arrange for the documentations upon successful raising of the loans.
Divestment
We assist our clients in reviewing their structure, business focus and profitability of their business units. Where appropriate, we make recommendations for divesting of non-strategic, financially distressed and non-profitable business units. This process may involve assets spin-offs, recapitalization, capital restructuring and/or introduction of strategic partners.
